Terms and Conditions for Blue Assistant

Effective Date: July 27th, 2025

These Terms and Conditions ("Terms") govern your access to and use of the Blue Assistant product and any associated services (collectively, the "Service") provided by Effortless Trading, Inc. ("we," "us," or "our").

Please read these Terms carefully. By accessing or using Blue Assistant, you signify your agreement to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT NOTICE REGARDING DATA PRACTICES AND YOUR AGREEMENT:

By using Blue Assistant, you explicitly acknowledge and agree to the data collection, usage, and indefinite retention practices detailed in our Privacy Policy. This includes the collection and indefinite saving ("forever") of your screen recordings, audio recordings, and installed application lists, and the potential review of this data by humans for service improvement.

IF YOU DO NOT AGREE TO THESE TERMS, INCLUDING THE DATA PRACTICES OUTLINED IN THE PRIVACY POLICY, DO NOT ACCESS OR USE BLUE ASSISTANT. Do not use Blue Assistant for any activities or with any information you consider private, confidential, or that you do not wish to be saved indefinitely or reviewed by humans.

We may offer an option in the future to prevent your data from being saved and reviewed, but this option is not currently available and your use of the Service now is under the current terms.

1. Acceptance of Terms

By creating an account, downloading, accessing, or using Blue Assistant, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Blue Assistant is an AI-powered assistant designed to understand and respond to your requests by observing your screen activity and listening to your audio input. The Service collects and processes data as described in our Privacy Policy to function and improve.

3. User Conduct and Responsibilities

You agree to use Blue Assistant only for lawful purposes and in accordance with these Terms. You are solely responsible for:

All activities conducted through your use of the Service.
Ensuring that your use of the Service does not involve any information or activity that you consider private, confidential, or sensitive, given the data collection and retention practices outlined in our Privacy Policy and these Terms.
Complying with all applicable local, state, national, and international laws and regulations.
Not using the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
Not attempting to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.
Not reverse-engineering, decompiling, disassembling, or otherwise attempting to discover the source code of Blue Assistant.
Not using the Service to transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

4. Privacy and Data Usage

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your information. By using Blue Assistant, you consent to the data practices described in our Privacy Policy, including:

The collection of your installed applications list, screen recordings, and audio recordings during active sessions.
The indefinite ("forever") retention of this collected data.
The review of this collected data by human personnel for the purpose of improving Blue Assistant.

You acknowledge that, at present, there is no option to opt-out of this data collection, retention, and review if you choose to use the Service. Your sole recourse if you do not agree is to not use Blue Assistant.

5. Intellectual Property

The Service and its original content (excluding data provided by you), features, and functionality are and will remain the exclusive property of Effortless Trading, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

By using the Service and agreeing to these Terms and the Privacy Policy, you grant Effortless Trading, Inc. a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the data collected from your use of the Service (as detailed in the Privacy Policy) for the purposes of operating, providing, improving, and developing Blue Assistant and other related services.

6. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. EFFORTLESS TRADING, INC. MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT THE NATURE OF THE SERVICE INVOLVES THE COLLECTION AND INDEFINITE RETENTION OF SCREEN RECORDINGS, AUDIO RECORDINGS, AND INSTALLED APPLICATION LISTS, WHICH MAY BE REVIEWED BY HUMANS. YOU USE THE SERVICE AT YOUR OWN RISK AND ASSUME ALL RESPONSIBILITY FOR ANY CONSEQUENCES ARISING THEREFROM.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EFFORTLESS TRADING, INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; ANY CONTENT OBTAINED FROM THE SERVICE; AND UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, INCLUDING SPECIFICALLY THE COLLECTION, INDEFINITE RETENTION, AND HUMAN REVIEW OF YOUR DATA AS DESCRIBED HEREIN AND IN THE PRIVACY POLICY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL EFFORTLESS TRADING, INC.'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless Effortless Trading, Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service. Data collected up to the point of termination will be retained as described in our Privacy Policy and these Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, and data retention policies as they relate to data collected prior to termination.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, which may be through a notice on our website or within the Service. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
